Welcome to Maplee. These Terms of Service (“Terms”) govern your use of the Maplee website, online store, vendor applications, pop-up markets, retail membership program, events, rentals, and related services (collectively, the “Services”).

In these Terms, “Maplee,” “we,” “us,” and “our” refer to Beaver Market Canada Inc., operating as Maplee. “You” and “your” refer to any person or business using our Services.

By accessing our website, submitting an application, booking a vendor space, purchasing a product or service, or participating in a Maplee event or retail program, you agree to these Terms.

1. Eligibility and Information

You must provide accurate, current, and complete information when using Maplee Services.

If you are using the Services on behalf of a business, you confirm that you are authorized to agree to these Terms on behalf of that business.

You are responsible for maintaining current contact information and for all activity completed through your account, email address, booking, or application.

2. Maplee Services

Maplee may offer:

  • Pop-up markets and vendor opportunities;

  • Retail shelf, display, cabinet, and membership opportunities;

  • Vendor applications and event bookings;

  • Equipment rentals and event add-ons;

  • Online marketplace, retail, and promotional services;

  • Vendor communications, sales support, and related operational services.

Availability, pricing, event details, operating hours, layouts, product offerings, and participation requirements may change where reasonably necessary for operations, safety, legal compliance, venue requirements, or event capacity.

3. Vendor Applications and Acceptance

Submitting an application does not guarantee acceptance into a Maplee market, retail space, event, or program.

Maplee evaluates applications based on factors that may include product fit, product quality, category balance, event needs, pricing, presentation, venue limitations, previous participation, and available space.

If accepted, vendors may be required to complete additional documents, provide proof of insurance, sign a vendor agreement, submit product information, make payment, or meet other requirements before participation is confirmed.

Maplee may revoke an acceptance before an event or retail term if payment, insurance, required documentation, approvals, or compliance requirements are not completed by the stated deadline.

4. Payments, Taxes, and Fees

All prices are listed in Canadian dollars unless otherwise stated. Applicable taxes, including HST, may be added at checkout.

Vendor fees, retail membership fees, display fees, rental fees, add-ons, and other charges must be paid by the stated deadline. A booking is not confirmed until payment has been received and all required documents have been completed.

Where a payment plan is offered, you are responsible for making payments by the agreed due dates. Missed, incomplete, or declined payments may result in suspension or cancellation of your booking, membership, display space, or participation.

Maplee may correct administrative, pricing, product, or listing errors. If a correction materially affects your purchase or booking, Maplee will provide reasonable next steps.

5. Cancellations, Refunds, Credits, and Transfers

Unless otherwise stated in writing, vendor fees, retail membership fees, event fees, rentals, add-ons, and related charges are non-refundable after payment.

Bookings may not be transferred, sold, shared, or reassigned without Maplee’s written approval.

Maplee may choose to offer a credit, discount, transfer, partial refund, or alternative date in limited circumstances. Any such accommodation is made at Maplee’s sole discretion and does not create a future obligation or precedent.

Nothing in these Terms limits any rights that cannot legally be excluded under applicable law.

6. Weather Cancellations and Event Disruptions

Maplee events are intended to operate rain or shine. However, Maplee may cancel, delay, shorten, relocate, modify, or end an event where weather conditions create a safety concern, venue restriction, operational issue, or risk to participants, staff, equipment, or property.

If an event is cancelled, delayed, shortened, or otherwise impacted due to weather, Maplee does not provide refunds.

Vendors remain responsible for their own products, equipment, travel, staffing, setup, teardown, and other business-related expenses.

Maplee may, at its sole discretion, offer a credit, discount, transfer, or alternative event date as a goodwill gesture. Any such accommodation is optional and does not establish an obligation for Maplee to provide the same accommodation in future circumstances.

7. Event Changes

Maplee may change an event’s date, hours, layout, vendor placement, location within a venue, capacity, programming, setup procedures, or operational requirements where reasonably necessary.

Maplee is not responsible for losses caused by weather, reduced attendance, customer purchasing decisions, competing events, transportation disruptions, venue conditions, power outages, public-health restrictions, labour disruptions, government action, emergencies, or other circumstances outside Maplee’s reasonable control.

8. Vendor Responsibilities

Vendors are responsible for:

  • Bringing all required products, displays, equipment, signage, supplies, staff, payment systems, and packaging;

  • Following all setup, teardown, safety, and venue instructions;

  • Maintaining a clean, safe, and professional vendor space;

  • Following all applicable laws, permits, licences, tax rules, insurance requirements, food-safety requirements, and accessibility obligations;

  • Ensuring products, pricing, packaging, marketing materials, and claims are accurate and lawful;

  • Supervising their own staff, volunteers, inventory, personal property, and customers;

  • Obtaining permission to use any trademarks, logos, photos, designs, music, or other intellectual property used in connection with their business.

Vendors must not sell prohibited, unsafe, counterfeit, illegal, infringing, misleading, or inappropriate goods.

Maplee may require the immediate removal of a product, display, activity, or person that it reasonably considers unsafe, disruptive, non-compliant, unlawful, or inconsistent with the event.

9. Food, Beverage, and Regulated Products

Vendors selling food, beverages, cosmetics, health-related products, alcohol, tobacco, cannabis, age-restricted goods, or other regulated products are solely responsible for obtaining and maintaining all required permits, licences, approvals, insurance, labels, temperature controls, safety procedures, and legal compliance.

Maplee’s acceptance of a vendor does not confirm that the vendor is legally permitted to sell any specific product.

10. Retail Membership and Inventory

Retail vendors remain responsible for the quality, safety, legality, pricing, labelling, and inventory accuracy of their products.

Where Maplee provides support such as merchandising, storage, restocking, sales reporting, inventory updates, or payment processing, these services are operational supports only and do not transfer ownership of vendor products to Maplee unless otherwise agreed in writing.

Retail membership terms, commission structures, payout schedules, display sizes, storage availability, product requirements, and restocking expectations may be set out in a separate Retail Membership Agreement.

Where there is a conflict between these Terms and a signed Retail Membership Agreement, the signed Retail Membership Agreement will govern.

11. Promotions and Discounts

Promotional codes, discounts, credits, giveaways, and special offers are subject to their stated terms, availability, expiry dates, and exclusions.

Unless specifically stated otherwise, discounts cannot be combined, transferred, exchanged for cash, or applied retroactively.

Maplee retail vendors may receive a 30% discount on eligible Maplee-run pop-up markets. This discount does not apply to collaborative, partner-operated, co-branded, sponsored, or otherwise excluded events, including events such as the Home Show and OssFest.

Maplee may modify, suspend, or end promotions where permitted by law.

12. Photos, Videos, and Marketing

Maplee may photograph, film, record, or otherwise capture images of vendors, products, event spaces, attendees, and participants for operational, promotional, editorial, social-media, and marketing purposes.

By attending or participating in a Maplee event, you grant Maplee a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, and display this content for those purposes.

If you do not wish for a specific identifiable image of you to be used in future content, contact Maplee at [Insert Email Address]. Maplee will make reasonable efforts to address future use where practical, but cannot guarantee removal from content that has already been printed, published, posted, shared, or distributed.

13. Intellectual Property

All Maplee names, logos, designs, text, graphics, website content, promotional materials, and other intellectual property are owned by or licensed to Maplee.

You may not copy, reproduce, modify, distribute, publish, or use Maplee intellectual property without written permission.

Vendors retain ownership of their own trademarks, logos, product images, and content. By submitting content to Maplee, vendors grant Maplee a non-exclusive, royalty-free licence to use that content to promote the vendor’s participation in Maplee Services.

14. Prohibited Conduct

You must not:

  • Provide false, misleading, or incomplete information;

  • Interfere with Maplee operations, website systems, payment processes, vendors, staff, guests, or venues;

  • Harass, threaten, discriminate against, or endanger any Maplee staff member, vendor, guest, contractor, or venue representative;

  • Use Maplee Services for unlawful, fraudulent, or unauthorized purposes;

  • Misrepresent an affiliation with Maplee;

  • Use Maplee branding, logos, event details, or promotional materials without permission;

  • Circumvent payment requirements, vendor-selection processes, or event policies;

  • Copy, scrape, reverse engineer, disrupt, or attempt to gain unauthorized access to Maplee systems.

15. Assumption of Risk and Limitation of Liability

Participation in markets, retail programs, and events involves ordinary risks, including weather conditions, crowds, theft, loss, breakage, property damage, setup and teardown activity, and interactions with the public.

To the fullest extent permitted by law, Maplee is not responsible for indirect, incidental, special, consequential, or punitive damages; loss of profits; lost sales; reputational harm; business interruption; or losses resulting from weather, customer traffic, venue conditions, vendor conduct, third-party services, or circumstances outside Maplee’s reasonable control.

Maplee’s total liability relating to any claim connected with the Services will not exceed the amount paid by you to Maplee for the specific Service giving rise to the claim during the three months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Indemnity

You agree to indemnify and hold harmless Maplee, its owners, employees, contractors, partners, and venue providers from claims, losses, damages, liabilities, costs, and expenses arising from:

  • Your products, services, sales, staff, contractors, or business operations;

  • Your breach of these Terms or applicable law;

  • Injury, damage, or loss caused by you, your staff, your display, or your products;

  • Claims that your products, content, branding, or activities infringe another party’s rights.

17. Privacy

Maplee collects and uses personal information to operate its Services, process payments, communicate with customers and vendors, manage applications and bookings, provide customer support, meet legal obligations, and improve its offerings.

By using the Services, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy and as permitted or required by law.

18. Third-Party Services

Maplee may use or link to third-party platforms, including payment processors, booking platforms, website providers, social-media platforms, analytics providers, and other service providers.

Maplee is not responsible for third-party websites, services, content, security, terms, privacy practices, or availability. Your use of third-party services is governed by their applicable terms and policies.

19. Suspension or Termination

Maplee may suspend or terminate access to the Services, cancel participation, remove products, or refuse future bookings where it reasonably believes that you have violated these Terms, failed to pay required fees, created a safety or legal risk, or acted in a manner harmful to Maplee, its community, partners, vendors, or venues.

Termination does not affect obligations that arose before termination, including payment obligations, indemnities, liability limitations, and intellectual-property rights.

20. Changes to These Terms

Maplee may update these Terms from time to time. The updated Terms will be posted on the Maplee website with a revised “Last Updated” date.

Your continued use of the Services after updated Terms are posted constitutes acceptance of those changes, except where additional notice or consent is required by law.

21. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario.

Any dispute arising from these Terms or the Services will be subject to the jurisdiction of the courts located in Ontario, unless applicable law requires otherwise.
